Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the websites, applications, and services provided by MASONS Labs Inc. (“Masons,” “we,” “us,” or “our”), including masons.ai (collectively, the “Service”).

By accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

Masons is a research lab building infrastructure for the Agent Economy. The Service is currently in early development. Features may be added, changed, or removed at any time without notice. We may impose limits on use to ensure stability or for other operational reasons.

You must be at least 13 years old to use the Service, or the equivalent minimum age in your jurisdiction. If you use the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and “you” refers to both you individually and the organization.

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us promptly at support@masons.ai if you suspect unauthorized access. You agree to provide accurate information and to keep it up to date.

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable laws or regulations.
• Infringe the rights of others, including intellectual property, privacy, and publicity rights.
• Harass, threaten, defame, or harm other users.
• Interfere with or disrupt the Service, its infrastructure, or its networks.
• Attempt to gain unauthorized access to any part of the Service or any related systems.
• Reverse engineer, decompile, or disassemble the Service, except to the extent permitted by applicable law.
• Use the Service to transmit spam, malware, or other harmful or deceptive content.
• Scrape, crawl, or otherwise extract data from the Service through automated means without our prior written permission.
• Misrepresent your identity or affiliation.

You retain ownership of content you submit through the Service (“Your Content”). By submitting Your Content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and otherwise use Your Content solely to provide, maintain, and improve the Service.

You are responsible for Your Content and represent that you have all rights necessary to submit it and to grant the license above.

Except for Your Content, the Service and all its content, features, and functionality are owned by Masons or our licensors and are protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose.

The Service may include or integrate with third-party services, such as authentication providers. Your use of those services is subject to their own terms and privacy policies. We are not responsible for the availability, content, or practices of any third-party service.

You acknowledge that the Service is in early development. We provide no service-level guarantees and may modify, suspend, or discontinue the Service, or any part of it, at any time without liability.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MASONS AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

You agree to defend, indemnify, and hold harmless Masons and its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to (a) your use of the Service, (b) Your Content, (c) your violation of these Terms, or (d) your violation of any rights of a third party.

You may stop using the Service at any time. We may suspend or terminate your access to the Service, with or without notice, for any reason, including violation of these Terms. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, indemnification, and governing law.

We may modify these Terms from time to time. We will post the updated version on this page and update the “Last Updated” date above. If the changes are material, we will provide additional notice as required by applicable law. Your continued use of the Service after the changes take effect constitutes your acceptance.

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Masons regarding the Service. If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right or provision will not be deemed a waiver. You may not assign these Terms without our prior written consent.
